What is a a L3C ? The low-profit, limited liability company, or L3C, is a hybrid of a nonprofit and for-profit organization. The L3C creates a desirable climate for the investment of private capital. Because it allows investors to further diversify their portfolio ; an L3C could be partially funded by money intended for prudent investment only such as state pension funds. This opens the door to trillions of dollars not currently available for socially beneficial investment.The Michigan LLC act was amended as Senate Bill 1445 was signed into law on January 16, 2009 .The L3C will be a important new tool that makes it easier for foundations to invest in Michigan's economic revitalization .The Low-profit Limited Liability Company is a cross between a nonprofit organization and a for-profit corporation. The entity is designated as low-profit with charitable or educational goals. This is not for a entity seeking 501(c)(3) status, it would still want to organize as a non-profit corporation, under T.11B, to qualify for that tax status. The basic purpose of the L3C is to signal to foundations and donor directed funds that entities formed under this provision intend to conduct their activities in a way that would qualify as program related investments.This is a vehicle in which foundations and for-profit enterprises can partner to help spur Michigan's economy and be able to make investment that can change and improve a community.

Projects that would benefit most from the L3C structure would be community or economic development projects where for-profit investors are interested in participating. One concrete example would be an affordable housing project where the following groups work in partnership:

• a for-profit developer (i.e., the general contractor),
• a community development corporation which is a public charity nonprofit and "sponsor" of the affordable housing project,
• a bank interested in meeting its Community Reinvestment Act requirements,
• the Local entity like The entity that bought the former Muskegon Mall property providing a loan to the project
• a county or other local government agency making a grant to the L3 C
