WHAT ARE THE BUYERS SIGNING?

I believe the number one reason a client works with a particular agent is because they trust him/her, or should they? We are not attorneys, but there are simple dates and terms we should make sure are part of a contract.

Let's take for example the Short Sale Addendum to Purchase and Sale Contract from the Florida Association of Realtors. Paragraph 1- Has the approval deadline and either party may cancel the Contract. However, it does not state that the Deposit needs to be returned to Buyer.

I recently received a Short Sale Addendum for my clients to sign prepared by an Attorney who is also the Closing Agent. Please note this was the only addendum to the contract and it also stated that this Addendum shall prevail if there was a conflict between this Addendum, the contract or any other addendum. As I read the Addendum I noticed that the following important terms were missing:

(1) Approval Deadline for Lender, without this deadline we have a contract that is open indefinitely pending for a certain contingency to clear. If the buyers get tired of waiting for the Lender's approval how do you get out of this contract? Remember it is a contract and there is a contingency for Lender's approval.

(2) Time Periods: Due to the complexity of the Short Sale Transaction and the time limits, the addendum should have a Time Period (EFFECTIVE DATE OF THE CONTRACT). In any short sale addendum we should have this time period start when the Lender approves the Short Sale, otherwise by the time the Lender approves the Short Sale your inspection period, commitment letter, and closing date would have elapsed.

When I spoke to the Listing Agent regarding the addendum he said that that was the addendum this Attorney had been using till now and had no issues with it.

My question to him was- So when does this contract become effective?

He said- When the Lender approves it

I said- we both agree on that, so where in the contract or addendum does it state that?

He said- I will speak to the attorney.

Many important dates and addendums are not taking seriously by many agents. They just want the deal signed and the house sold. I want that to, but done the right way.
